Terms of Service
Effective Date: January 1, 2025
1. Introduction
These Terms of Service govern your use of the website and services provided by StakGrid Technologies LLC ("we," "us," or "our"). By accessing our infrastructure, utilizing our API, or hiring our agency services, you agree to these terms.
2. Intellectual Property
All code, architecture diagrams, and "AI Agents" developed by StakGrid remain our intellectual property until full payment is received. Upon final settlement, rights are transferred to the client, excluding our proprietary "Core Libraries" which are licensed for use.
3. Service Level Agreement (SLA)
For Enterprise clients on our "Unified Cloud" plans, we guarantee 99.9% uptime via our partners (AWS/Cloudflare). We are not liable for outages caused by third-party provider failures beyond our control.
4. Limitation of Liability
StakGrid Technologies LLC is not liable for indirect, incidental, or consequential damages resulting from the use of our deployed software. Our total liability is limited to the amount paid for services in the preceding 6 months.
5. Payment Terms
Payment is due upon project milestones as outlined in the Statement of Work (SOW). Late payments may result in service suspension. We accept wire transfer, ACH, and credit card payments processed through Stripe.
6. Termination
Either party may terminate services with 30 days written notice. Upon termination, all intellectual property rights transfer to the client upon final payment. We reserve the right to immediately suspend services for non-payment or violation of terms.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes technical architectures, business strategies, and trade secrets. Confidentiality obligations survive termination for 5 years.
8. Warranty Disclaimer
Services are provided "as is" without warranties of any kind, express or implied. We do not guarantee that our services will be uninterrupted or error-free, though we commit to industry-standard uptime and rapid incident response.
9. Governing Law
These terms are governed by the laws of the State of Washington, United States. Any disputes shall be resolved through binding arbitration in Snohomish County, Washington.
10. Changes to Terms
We reserve the right to modify these terms at any time. Material changes will be communicated to active clients via email. Continued use of services after changes constitutes acceptance of the updated terms.
